Terms & Conditions
These terms apply to your use of this website and to every quotation, order and sale made by Apex Trade & Retail Limited, trading as Crestline.
1. About these terms
“We”, “us” and “our” mean Apex Trade & Retail Limited, a company incorporated in Hong Kong. “You” means the person or business using our website or buying from us. By placing an order you agree to these terms. If a signed agreement or written order confirmation says something different, that document takes priority.
2. Our services
We provide product sourcing, quality control, logistics coordination and the supply of goods on a wholesale and retail basis. The exact scope of each order is set out in our quotation or order confirmation.
3. Quotations and orders
- Quotations are valid for 14 days unless stated otherwise.
- An order becomes binding when we issue a written order confirmation or accept payment.
- Product specifications, packaging and labelling must be agreed in writing before production starts.
- We may decline any order, for example where goods are restricted or a destination is subject to sanctions.
4. Prices and payment
Prices are quoted in US dollars or Hong Kong dollars and, unless stated otherwise, exclude import duties, taxes and destination charges. For sourcing and production orders we usually require a deposit before production and the balance before shipment. Retail orders are paid in full at the time of purchase.
5. Delivery, title and risk
For trade orders, delivery and the transfer of risk follow the Incoterms® 2020 rule stated in the order confirmation (for example FOB Hong Kong or DDP). For retail orders, risk passes to you on delivery. Ownership of the goods passes to you only once we have received payment in full. Delivery dates are estimates; see our Shipping & Delivery Policy.
6. Inspection and claims
Please inspect goods promptly on arrival. Claims for shortages, damage or defects must be made in writing within the periods set out in our Refund & Returns Policy, with photographs and order details.
7. Cancellations
Trade orders may be cancelled before production starts; we will refund any payments less costs already incurred, such as samples, tooling or deposits paid to manufacturers. Once production has started, an order can only be changed or cancelled with our written agreement.
8. Product compliance
Unless we agree otherwise in writing, you are responsible for ensuring that the goods, their labelling and their packaging meet the laws and standards of the country where they will be sold. We will provide the test reports and documents available from the manufacturer on request.
9. Limitation of liability
We are not liable for indirect or consequential loss, including loss of profit, revenue or business. Our total liability for any order is limited to the price paid for that order. Nothing in these terms limits liability that cannot be limited under Hong Kong law.
10. Events outside our control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, severe weather, epidemics, port congestion, strikes, government action or carrier failures.
11. Intellectual property and confidentiality
All content on this website belongs to us or our licensors. Your designs, brand assets and specifications remain yours; we use them only to fulfil your order and keep them confidential.
12. Use of this website
You agree not to misuse the website, attempt to gain unauthorised access to it or use it for any unlawful purpose. Information on the website is general and may change without notice.
13. Governing law
These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have non-exclusive jurisdiction over any dispute.
